1. Acceptance of Terms
By accessing and using the services provided by VineBranch Systems ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. Your continued use of our website and services constitutes acceptance of any updates to these Terms.
2. Description of Services
VineBranch Systems provides business automation solutions for local service businesses and contractors, including but not limited to: missed call text-back, call answering, appointment scheduling, automated Google review requests, SMS/email reminders, lead generation, pipeline and CRM organization, website and funnel builds, ad management, and content creation planning. We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.
3. User Responsibilities
You agree to provide accurate, current, and complete information when using our services, including when scheduling consultations or submitting forms. You are responsible for maintaining the confidentiality of any account credentials provided to you and for all activities that occur under your account. You agree not to use our services for any unlawful, fraudulent, or prohibited purpose.
4. SMS & Communication Consent
By providing your phone number, you agree to receive text messages regarding your appointment, including reminders and follow-ups. Message & data rates may apply. Reply STOP to opt out at any time. You acknowledge that standard messaging rates from your mobile carrier may apply.
5. Payment Terms
Fees for our services are billed monthly as agreed upon in your selected service plan. One-time setup or project fees (such as website/funnel builds) are billed as separately quoted. All payments are due per the billing schedule provided. Payments are non-refundable unless otherwise stated in writing. We reserve the right to change our pricing upon reasonable notice. Late payments may result in suspension of services.
6. Service Setup & Onboarding
VineBranch Systems will configure and install automation workflows on your behalf. You agree to provide timely access to necessary accounts, platforms, and information required for setup. We are not responsible for delays caused by incomplete or inaccurate information provided by you or your team.
7. Intellectual Property
All content, software, workflows, frameworks, and intellectual property developed and provided through our services remain the exclusive property of VineBranch Systems. You are granted a limited, non-exclusive, non-transferable license to use our services and deliverables for your internal business purposes only. You may not resell, redistribute, or white-label our services without written consent.
8. Third-Party Integrations
Our services may integrate with third-party platforms (e.g., calendar systems, CRM tools, SMS gateways, advertising platforms). You are responsible for complying with the terms of service of those third-party platforms. VineBranch Systems is not liable for disruptions, changes, or discontinuations caused by third-party providers.
9. Limitation of Liability
In no event shall VineBranch Systems be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services, including loss of profits, data, or business opportunities. Our total liability for any claims under these terms shall not exceed the amount you paid us for the services in the three (3) months preceding the claim.
10. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee specific business results, lead volumes, or revenue outcomes from the use of our automation tools.
11. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms. You may cancel your subscription at any time with written notice. Upon termination, your right to use the services will immediately cease. Cancellation does not entitle you to a refund of fees already paid unless otherwise stated in writing.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the state in which VineBranch Systems operates, without regard to conflict of law principles.
13. Changes to These Terms
We may update these Terms of Service from time to time. Any changes will be posted on this page with an updated revision date. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.
